On December 3, 2025  Rob Cohoe, and Evelyn Lee, Co-Founders of Earth Renew Limited and Branden Haynes, CEO of AxiNorth Industries met in Vancouver to sign their definitive partnership agreement to pursue joint design, financing, and deployment of modular data centre projects and related infrastructure combining energy efficiency, sustainability, and digital finance.

This agreement allows both parties to refer relevant business opportunities to each other and provide first right of refusal in terms of tokenization and funding to Earth Renew.

The partnership brings together Earth Renew’s capabilities in project

financing, tokenization, and real-world asset (RWA) monetization with AxiNorth’s engineering, design, and deployment expertise in modular data centre systems across sustainable infrastructure sectors.

Transforming Infrastructure Through Engineering and Tokenization

Under the agreement, Earth Renew and AxiNorth will collaborate to deliver highly flexible, portable, and energy-efficient modular data centre units capable of supporting:

• High-performance computing (HPC)

• AI and digital asset hosting

• Modular renewable energy systems

• Waste-to-energy and sustainable agriculture infrastructure

• Carbon monetization and other RWA-backed initiatives

The partnership establishes Earth Renew as the exclusive financing and tokenization partner for modular data centre ventures developed under this initiative.

Key Terms of the Definitive Agreement

Earth Renew Will:

• Lead project financing, tokenization, and capital structuring.

• Maintain ownership of tokenization/IP frameworks used in joint projects.

• Receive 50% equity participation or equivalent revenue share in project SPVs utilizing Earth Renew’s financing models.

• Hold first right of refusal to finance or co-invest in future AxiNorth renewable or digital infrastructure projects.

• Introduce financing partners, investors, and client opportunities for modular

 data centre deployments.

AxiNorth Will:

• Provide engineering, design, and operational leadership for all modular data centre

systems.

• Deploy modular, modular, and energy-efficient data centre units across North America and targeted global markets.

• Recognize Earth Renew as its exclusive tokenization and financing partner within the scope of this agreement.

• Introduce project partners and clients requiring tokenization or advanced financing solutions.
